Our Policies
Altaid Co. is committed to conducting business ethically and in compliance with applicable laws, international trade regulations, and industry best practices. The following policies form part of our Terms & Conditions and apply to all quotations, purchase orders, sales, and deliveries unless otherwise agreed in writing.
1. SANCTIONS, EXPORT CONTROL & END-USE COMPLIANCE POLICY
Version 1.0
1. Purpose
ALTAID FOR GENERAL CONTRACTING AND TRADING LTD ("ALTAID Co.", the "Company", "we", "our", or the "Seller") is committed to conducting its business with integrity and in compliance with all applicable sanctions, export control regulations, customs requirements, and international trade laws, including, where applicable, the sanctions and export control laws and regulations of the Republic of Iraq, the United Nations Security Council (UNSC), the European Union (EU), the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury, the Office of Financial Sanctions Implementation (OFSI) of HM Treasury in the United Kingdom, and any other competent governmental or regulatory authority having jurisdiction over the transaction.
This Policy applies to all quotations, purchase orders, contracts, invoices, deliveries, and sales of goods and services supplied by ALTAID Co.
2. Scope
This Policy applies to all customers, buyers, contractors, subcontractors, distributors, agents, resellers, and any other person or entity purchasing goods or services from ALTAID Co.
3. Buyer's Responsibility
The Buyer represents and warrants that it is either:
the final end user of the goods; or
duly authorized to purchase the goods on behalf of the final end user.
Where the Buyer is not the final end user, the Buyer shall be solely responsible for:
verifying the identity of the final end user;
verifying the intended end use;
verifying the final destination;
ensuring compliance with all applicable sanctions, export control, customs, and international trade laws; and
ensuring that any subsequent transfer, resale, export, re-export, or use of the goods remains fully compliant with applicable laws.
ALTAID Co. is entitled to rely upon the information, declarations, and representations provided by the Buyer.
4. Sanctions Compliance
The Buyer represents, warrants, and undertakes that products supplied by ALTAID Co. shall not be sold, supplied, transferred, exported, re-exported, delivered, installed, incorporated into another product, or otherwise made available, directly or indirectly, to or for the benefit of any sanctioned or restricted person, entity, organization, government, project, facility, vessel, aircraft, destination, or country where such activity would violate applicable sanctions or export control laws.
5. Export Control Compliance
The Buyer shall comply with all applicable export control, customs, import, export, re-export, and international trade laws governing the purchase, transfer, storage, distribution, and use of products supplied by ALTAID Co.
The Buyer shall obtain any licenses, permits, approvals, or governmental authorizations required under applicable law.
6. End-Use Restrictions
Unless otherwise agreed in writing by ALTAID Co., the Buyer shall not use, transfer, or supply products purchased from ALTAID Co. for any unlawful purpose or for any prohibited military, nuclear, chemical, biological, missile-related, or other restricted activities prohibited under applicable law.
7. Notification Obligation
The Buyer shall promptly notify ALTAID Co. if:
the intended end user changes;
the intended end use changes;
the destination changes;
ownership of the goods changes before final delivery; or
any information becomes known that may affect compliance with applicable sanctions or export control laws.
8. Right to Refuse or Cancel
ALTAID Co. reserves the right, at its sole discretion, to refuse, suspend, delay, or cancel any quotation, purchase order, shipment, or delivery where ALTAID Co. reasonably believes that the transaction may violate applicable sanctions, export control laws, customs regulations, or international trade requirements.
ALTAID Co. shall not be liable for any loss, delay, cost, or damages resulting from such action.
9. Buyer's Indemnity
The Buyer agrees to defend, indemnify, and hold harmless ALTAID Co., its directors, officers, employees, shareholders, affiliates, and representatives from and against any and all claims, penalties, fines, investigations, liabilities, losses, damages, costs, legal fees, and expenses arising directly or indirectly from:
any breach of this Policy;
inaccurate, incomplete, or misleading information provided by the Buyer;
any onward sale, transfer, export, re-export, or use of the goods following delivery by ALTAID Co.; or
any failure by the Buyer or any subsequent recipient to comply with applicable sanctions, export control, customs, or international trade laws.
10. Reliance on Buyer's Information
ALTAID Co. is entitled to rely upon all information, declarations, warranties, and representations provided by the Buyer and shall not be responsible for any inaccurate, incomplete, or misleading information concerning the end user, end use, destination, or subsequent transfer of the goods.
11. Acceptance
Acceptance of any quotation, purchase order, invoice, payment, shipment, or delivery shall constitute the Buyer's unconditional acceptance of:
this Policy;
ALTAID Co.'s Terms & Conditions; and
all applicable trade compliance requirements.
No separate signature shall be required unless specifically requested by ALTAID Co.
12. Amendments
ALTAID Co. reserves the right to amend or update this Policy at any time.
The latest version published on ALTAID Co.'s official website shall apply to all future quotations, purchase orders, and transactions.

وتُعد السياسات التالية جزءًا لا يتجزأ من الشروط والأحكام الخاصة بالشركة، وتسري على جميع عروض الأسعار، وأوامر الشراء، والعقود، والفواتير، والمبيعات، والشحنات، وعمليات التسليم، ما لم يتم الاتفاق على خلاف ذلك كتابيًا.
١. سياسة الامتثال للعقوبات وضوابط التصدير والاستخدام النهائي
الإصدار 1.0
١. الغرض
تلتزم شركة التيد للمقاولات والتجارة العامة المحدودة بمزاولة أعمالها بأعلى درجات النزاهة والامتثال لجميع أنظمة العقوبات، ولوائح وضوابط التصدير، والمتطلبات الجمركية، والقوانين والأنظمة المنظمة للتجارة الدولية، بما في ذلك، حيثما ينطبق، أنظمة العقوبات ولوائح وضوابط التصدير الصادرة أو المطبقة بموجب قوانين جمهورية العراق، وقرارات مجلس الأمن التابع للأمم المتحدة، ولوائح الاتحاد الأوروبي، والأنظمة التي يطبقها مكتب مراقبة الأصول الأجنبية التابع لوزارة الخزانة الأمريكية، والأنظمة التي يطبقها مكتب تنفيذ العقوبات المالية التابع لوزارة الخزانة البريطانية، وأي جهة حكومية أو تنظيمية مختصة أخرى لها ولاية على المعاملة.
وتسري هذه السياسة على جميع عروض الأسعار، وأوامر الشراء، والعقود، والفواتير، وعمليات التسليم، وجميع مبيعات السلع والخدمات التي تقدمها الشركة.
٢. نطاق التطبيق
تسري هذه السياسة على جميع العملاء، والمشترين، والمقاولين، والمقاولين من الباطن، والموزعين، والوكلاء، والبائعين، وأي شخص طبيعي أو اعتباري يقوم بشراء أي منتجات أو خدمات من الشركة.
٣. مسؤولية المشتري
يقر المشتري ويضمن بأنه:
المستخدم النهائي للمنتجات؛ أو
مفوض قانونًا بشراء المنتجات نيابةً عن المستخدم النهائي.
وفي حال لم يكن المشتري هو المستخدم النهائي، فإنه يتحمل وحده المسؤولية الكاملة عن:
التحقق من هوية المستخدم النهائي.
التحقق من الغرض المقصود من استخدام المنتجات.
التحقق من الوجهة النهائية للمنتجات.
ضمان الامتثال لجميع أنظمة العقوبات، وضوابط التصدير، والأنظمة الجمركية، وقوانين التجارة الدولية المعمول بها.
ضمان أن أي بيع لاحق، أو نقل، أو إعادة بيع، أو تصدير، أو إعادة تصدير، أو استخدام للمنتجات يتم بما يتوافق مع القوانين والأنظمة السارية.
ويحق للشركة الاعتماد على جميع المعلومات والإقرارات والتأكيدات والضمانات المقدمة من المشتري، دون تحمل أي مسؤولية عن عدم صحتها..
٩. تعويض الشركة
يلتزم المشتري بالدفاع عن الشركة وتعويضها وإبراء ذمتها، وكذلك مديريها، ومسؤوليها، وموظفيها، ومساهميها، والشركات التابعة لها، وممثليها، من أي مطالبات أو غرامات أو عقوبات أو تحقيقات أو التزامات أو خسائر أو أضرار أو تكاليف أو أتعاب قانونية أو مصروفات تنشأ، بصورة مباشرة أو غير مباشرة، نتيجةً لما يلي:
أي إخلال بأحكام هذه السياسة.
تقديم معلومات غير صحيحة أو غير مكتملة أو مضللة من قبل المشتري.
أي بيع أو نقل أو تصدير أو إعادة تصدير أو استخدام لاحق للمنتجات بعد تسليمها من قبل الشركة.
أي إخفاق من جانب المشتري أو أي طرف لاحق في الالتزام بأنظمة العقوبات، أو ضوابط التصدير، أو الأنظمة الجمركية، أو قوانين التجارة الدولية المعمول بها.
١٠. الاعتماد على معلومات المشتري
يحق للشركة الاعتماد على جميع المعلومات والإقرارات والضمانات والتأكيدات المقدمة من المشتري، ولا تتحمل أي مسؤولية عن أي معلومات غير صحيحة أو غير مكتملة أو مضللة تتعلق بالمستخدم النهائي، أو الغرض من الاستخدام، أو الوجهة النهائية، أو أي نقل أو تصرف لاحق في المنتجات بعد تسليمها.
١١. القبول
يُعد قبول أي عرض سعر، أو أمر شراء، أو فاتورة، أو سداد، أو شحنة، أو استلام للمنتجات، موافقةً نهائية وغير مشروطة من المشتري على:
هذه السياسة.
الشروط والأحكام الخاصة بالشركة.
جميع متطلبات الامتثال المتعلقة بالعقوبات، وضوابط التصدير، والتجارة الدولية.
ولا يشترط توقيع منفصل على هذه السياسة ما لم تطلب الشركة ذلك صراحةً.
١٢. التعديلات
تحتفظ الشركة بحقها في تعديل أو تحديث هذه السياسة في أي وقت.
وتسري أحدث نسخة منشورة على الموقع الإلكتروني الرسمي للشركة على جميع عروض الأسعار، وأوامر الشراء، والمعاملات المستقبلية، ما لم يُنص على خلاف ذلك كتابةً.
١٣. القانون الواجب التطبيق
تخضع هذه السياسة وتُفسر وفقًا لقوانين جمهورية العراق، ما لم يتم الاتفاق صراحةً وكتابةً على خلاف ذلك بين الشركة والمشتري.
وإذا تقرر أن أي حكم من أحكام هذه السياسة غير صحيح أو غير قانوني أو غير قابل للتنفيذ، فإن ذلك لا يؤثر على صحة أو نفاذ باقي أحكامها، والتي تظل سارية ونافذة بالكامل.
١٤. الاختصاص القضائي
تختص محاكم جمهورية العراق بالنظر في أي نزاع ينشأ عن هذه السياسة أو يتعلق بها، ما لم يتم الاتفاق كتابيًا على خلاف ذلك بين الطرفين.
